Terms of Service

1. Agreement
By accessing https://counter24.in or using the Counter24 software (“Service”), you agree to these Terms of Service. If you use the Service on behalf of a shop or company, you confirm you are authorised to bind that entity.
2. The Service
Counter24 is a cloud POS and shop management SaaS for retailers in India, including billing, inventory, customers, GST-oriented invoices, and reports. Features may change as we improve the product. Some capabilities (including WhatsApp invoice sending and online payment gateways for subscriptions) may be labelled coming soon and are not guaranteed until enabled for your plan.
3. Accounts & access
You must provide accurate registration details and keep login credentials confidential. You are responsible for activity under your workspace, including actions by cashiers and other users you invite. Notify us promptly of unauthorised access at support@counter24.in.
4. Acceptable use
You agree to use Counter24 only for lawful retail operations. You must not:
- Misuse the Service to commit fraud or violate tax or consumer laws
- Attempt to breach security, scrape, or disrupt the Service
- Upload unlawful, infringing, or harmful content
- Send WhatsApp/SMS or other messages to customers without required consent or legal basis
5. Your data & GST responsibility
You own the business data you enter (products, customers, invoices, etc.). You are solely responsible for the accuracy of prices, GST rates, invoice contents, and filings with tax authorities. Counter24 provides software tools; it is not your chartered accountant or tax advisor.
6. Subscriptions & payments
Paid plans, if offered, are described at enquiry or in your order confirmation. Fees are typically in Indian Rupees (INR) unless stated otherwise. Online payment gateway checkout for subscriptions is coming soon. Until then, billing may be handled manually after confirmation with Counter24. Fees already paid for a billing period are generally non-refundable except where required by law or expressly agreed in writing.
7. Third-party services
The Service may integrate with third parties (hosting, messaging providers such as WhatsApp Business platforms, and future payment gateways). Their terms and availability apply to those parts. We are not liable for outages or policy changes by Meta, banks, or payment processors.
8. Intellectual property
Counter24 branding, software, and website content belong to us or our licensors. You receive a limited, non-exclusive right to use the Service for your shop while your account is in good standing. You do not acquire ownership of our software.
9. Availability & disclaimer
We aim for reliable uptime but do not warrant uninterrupted or error-free operation. The Service is provided on an “as available” basis to the maximum extent permitted by law. We are not liable for indirect or consequential losses, lost profits, or data loss, except where liability cannot be limited under Indian law.
10. Suspension & termination
We may suspend or terminate access for breach of these Terms, non-payment, or risk to the platform. You may stop using the Service at any time. Provisions that should survive (including IP, liability limits, and your data responsibilities) continue after termination.
11. Governing law
These Terms are governed by the laws of India. Courts in India shall have subject-matter jurisdiction, subject to applicable law.
